These Terms of Service (the “Terms”), together with any applicable supplemental service terms or policies posted on our Services including our Privacy Policy., form the agreement (the “Agreement”) between BestKept Storage LLC, a California limited liability company dba LA Art Hub (“LAArtHub,” "we,” “us,” or “our”) and you (the “User,” “you,” or “your”) governing your access to and use of our website, mobile applications (if any), platforms, tools, catalog features, and related services (collectively, the “Services”).

LAArtHub operates LAArtHub.com as an online catalog and discovery hub focused on Los Angeles-area and global contemporary art, galleries, artists, exhibitions, and related cultural content. The Services allow users to browse, search, view detailed listings (the “Catalog”), submit inquiries, and (where permitted) contribute listings or profiles.

By accessing or using any part of the Services, you agree to be bound by this Agreement. If you do not agree, you must not access or use the Services.

Key Notes:

- LAArtHub is not a marketplace, auction house, broker, or payment processor. We do not facilitate, process, or guarantee any sales, purchases, shipments, or transactions between users. All inquiries or potential deals occur directly between users (e.g., galleries, artists, collectors).

- Artists, galleries, and other contributors (“Contributors”) are solely responsible for the accuracy and legality of their listings and content.

- Capitalized terms have the meanings set forth in these Terms or in linked policies.

1. Role of LAArtHub

LAArtHub provides an informational catalog platform for discovering and exploring art listings, artist/gallerist profiles, event calendars, and related content. We may offer tools to submit inquiries to listed parties or to upload listings (subject to approval). All information, descriptions, images, condition reports, pricing, and availability shown in the Catalog is provided “as is” for informational purposes only and does not constitute any representation, warranty, or guarantee by LAArtHub.

We do not own, inspect, authenticate, or take possession of any artwork. LAArtHub is not a party to any transaction or agreement between Users. We may (but are not obligated to) facilitate communication or display contact forms. LAArtHub reserves the right, in its sole discretion, to modify, remove, or refuse any content, redesign the Services, or suspend/terminate any User’s access at any time.

2. Using LAArtHub’s Services

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into this Agreement. By using the Services you represent that you meet these requirements, are not located in a country subject to U.S. embargo, and will comply with all applicable laws.

You agree to:

- Maintain the security of your account (if registered) and notify us of any unauthorized use.

- Provide accurate information and not impersonate others.

- Use the Services only for lawful purposes and personal/non-commercial exploration unless you have express permission from LAArtHub for commercial use.

- Not scrape, crawl, data-mine, use AI tools to harvest, or interfere with the Services.

- Not post misleading, infringing, defamatory, or abusive content.

- Not attempt to circumvent any security or access controls.

LAArtHub may monitor use, investigate violations, and take action including content removal, account suspension, or legal reporting. We may also reclaim usernames or close inactive accounts.

3. Content

“Content” includes all text, images, videos, descriptions, listings, profiles, artwork photos, and other materials on the Services.

3.1. LAArtHub Content

All Content created or owned by LAArtHub (excluding User/Contributor Content) and the look-and-feel, design, and trademarks of LAArtHub.com are owned by or licensed to us. You may view and use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, or use our logos/trademarks to suggest affiliation without written permission.

3.2. Contributor / User Content

If you submit listings, profiles, images, inquiries, comments, or other material (“User Content”), you are solely responsible for it. By submitting, you grant LAArtHub a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, display, distribute, promote, and use your User Content in connection with the Services (including marketing the platform). You retain ownership of your intellectual property but represent that you have all rights to grant this license and that the content does not infringe third-party rights. User Content does not reflect LAArtHub’s opinions.

3.3. Copyright & Intellectual Property Policy

We respect copyright and will respond to valid DMCA takedown notices. Report suspected infringement to info @ bestkeptstorage.com. We may remove content at our discretion.

4. Third-Party Services and Links

The Services may contain links to third-party websites, galleries, payment tools, or services. We are not responsible for their content, terms, or practices. Your use of any third-party service is at your own risk.

5. Catalog Listings and Inquiries

Contributors are responsible for the accuracy, authenticity claims, pricing, and legality of any listed artwork or profile. LAArtHub may publish, promote, or feature listings but does not verify or guarantee them. All inquiries sent through our contact forms are transmitted directly to the listed party; LAArtHub does not guarantee responses or outcomes. Listings are public unless otherwise noted, and you consent to your name or business name appearing in association with your content.

11. Artist Resale Royalty / Commissions

Any applicable artist resale royalties or fees are the sole responsibility of the parties to any potential transaction. LAArtHub does not collect, calculate, or remit such amounts unless expressly stated in a separate written agreement.

12. Taxes

You are solely responsible for any taxes arising from your use of the Services or any transactions you conduct outside the platform. LAArtHub provides no tax advice.

20. User Disputes & Authenticity

LAArtHub is not responsible for disputes between Users, authenticity claims, or any dealings that result from the Catalog. Resolve all issues directly with the other party. We may, at our sole discretion, assist in good faith (e.g., by removing disputed listings) but are not obligated to do so and bear no liability.

21. Indemnification

You agree to indemnify, defend, and hold harmless LAArtHub, its owners, officers, employees, and agents from any claims, damages, or expenses (including attorney fees) arising from: (i) your use of the Services, (ii) your User Content or listings, (iii) any breach of these Terms, or (iv) any transaction or interaction you have with other Users.

22. Disclaimer of Warranties; Limitation of Liability

THE SERVICES AND ALL CATALOG CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND. LAArtHub DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AUTHENTICITY OF ARTWORKS, AND NON-INFRINGEMENT.

IN NO EVENT shall LAArtHub’s aggregate liability exceed the greater of $100 or the amount you paid us (if any) in the prior 12 months. We are not liable for indirect, consequential, or punitive damages, including loss of profit or data.

23. Notices and Electronic Communications

We may send notices by email or by posting on the Services. You consent to receiving all agreements and notices electronically.

24. Governing Law; Dispute Resolution

This Agreement is governed by the laws of the State of California without regard to conflict-of-laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You agree to waive any jury trial and class-action rights.

25. Modifications

We may update these Terms at any time by posting the revised version (with a new “Last Updated” date). Material changes will be notified via email or prominent notice. Continued use after changes constitutes acceptance. If you do not agree, stop using the Services.

26. Termination

You may stop using the Services at any time. We may terminate or suspend your access at any time, with or without cause. Sections relating to intellectual property, disclaimers, liability, indemnification, and governing law survive termination.

27. Miscellaneous

- Severability: If any provision is invalid, the remainder remains in effect.

- No Waiver: Failure to enforce a right does not waive it.

- Assignment: We may assign this Agreement; you may not without our consent.

- Force Majeure: We are not liable for events beyond our reasonable control.

- Entire Agreement: This Agreement (plus Privacy Policy) is the complete understanding between us.
